Terms of Use

These Terms of Use (“Terms”) govern access to and use of the RK Stock Flow platform, including the web app and the Stock Flow and Time Track mobile apps (together, the “Platform”). By creating an account, you acknowledge that you have read, understood, and fully agreed to these Terms and to our Privacy Policy.

1. Who provides the service

The Platform is operated by MATEUS DE M RAMALHO (trade name Ramalho Tech Solutions), registered under Brazilian company ID (CNPJ) 56.183.645/0001-61 (“we,” “our”).

2. Acceptance of terms

By checking the consent box during sign-up and clicking “Create account,” or by completing sign-up via social login (Google), you provide free, informed, and unambiguous consent to these Terms and to the Privacy Policy, as required by LGPD. If you do not agree, do not use the Platform.

3. Description of the service

RK Stock Flow is an inventory management platform that provides, among other features: inventory control and stock counts, client and employee records, collection-device management, reporting, and synchronization between the web app and mobile apps.

4. Registration and user account

You agree to provide true, complete, and up-to-date information during registration, and are responsible for keeping your login credentials confidential. You are responsible for all activity on your account. Registration is intended for individuals 18 years or older, or legally authorized representatives of a business entity.

5. User responsibilities

By using the Platform, you agree to:

• Not use the Platform for unlawful or unauthorized purposes;
• Not attempt to access third-party accounts, data, or systems without authorization;
• Ensure you have a legal basis and, where applicable, adequate consent to register your company’s client and employee data on the Platform, acting as the controller of that data (you or your company), as detailed in our Privacy Policy;
• Keep the data you enter accurate and update it when needed.

In those cases, we process client and employee data solely per your company’s instructions and for the Platform’s purposes, as set out in LGPD art. 39.

6. Intellectual property

All intellectual property rights in the Platform — including software, branding, design, and content — belong to us or our licensors. You receive a limited, non-exclusive, non-transferable license to use the Platform under these Terms; reverse engineering, copying, or unauthorized redistribution is not permitted.

7. Ownership of operational data

The operational data you or your company enter into the Platform — such as stock records, counts, and client and employee records — belongs to you. We use this data solely to provide the contracted service and do not use it for other purposes without your authorization.

8. Pricing and billing

RK Stock Flow is currently free to use. We may, in the future, introduce paid plans, premium features, or usage limits tied to billing. If that happens, you will be informed in advance, with clear information about prices, billing method, and conditions, before any charge is applied to your account, in accordance with Brazil’s Consumer Defense Code. Continued use of any features that become paid will be conditioned on your express acceptance of the new commercial terms.

9. Service availability

We make reasonable efforts to keep the Platform available and functioning correctly, but we do not guarantee uninterrupted availability. Maintenance, updates, or factors outside our control may cause temporary unavailability.

10. Limitation of liability

To the maximum extent permitted by applicable law, we are not liable for indirect damages, lost profits, or data loss arising from use of the Platform, except in cases of willful misconduct or gross negligence on our part. Nothing in these Terms excludes rights that cannot be limited by law, including those under Brazil’s Consumer Defense Code.

11. Cancellation and account deletion

You may delete your account at any time under Settings → Profile → Delete account. We may suspend or terminate accounts that violate these Terms, with prior notice whenever reasonably possible.

12. Changes to these terms

We may update these Terms periodically. The last-updated date is shown at the top of this page. Continued use of the Platform after material changes take effect constitutes acceptance of the new Terms.

13. Governing law and jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil. The user’s domicile is elected as the jurisdiction to resolve any disputes arising from these Terms, in accordance with Brazil’s Consumer Defense Code.
